Why Go Private?

The primary reason for going private in my opinion is that the market is not properly valuing the efforts of the public company.

At times, this is due to the efforts of short sellers to depress the price of the stock.

Being private allows the company to benefit from a more leveraged capital structure.

Being private allows management to focus on long term objectives that public investors may not support.

Being private does away with the considerable costs of being public, including possible litigation from disgruntled shareholders.

Public shareholders may benefit from being bought out at a better price than the current market.
